1. Introduction

Welcome to Padeia! These Terms of Service ("Terms") are a binding agreement between you, the customer ("Customer," "you"), and Padeia AS, a company headquartered at Gaustadalléen 21, 0349 Oslo, Norway ("Padeia," "we," "us").

These Terms govern your use of our SaaS platform and related services ("Service"). By creating an account, signing an Order Form, or using our Service, you agree to these Terms. If you are using our Service on behalf of an organization, you are agreeing on behalf of that organization.

2. The Padeia Service

2.1. Service Description

Padeia provides a SaaS platform that centralizes and analyzes business data to deliver reporting, forecasting, and AI-driven insights. The Service is delivered "as-is" via the cloud.

2.2. Customer Responsibilities

You are responsible for:

  • Providing accurate registration information and keeping your account secure.
  • Ensuring your authorized users comply with these Terms.
  • The legality, quality, and accuracy of your data.
  • Managing access rights and de-provisioning users who no longer need access.

2.3. Acceptable Use

You agree not to:

  • Use the Service to process unlawful, harmful, or infringing data.
  • Attempt to gain unauthorized access to our systems or another customer's data.
  • Use the Service to transmit malicious code or disrupt its performance.
  • Share user logins; each user must have a unique login.

3. Data Protection, Security & Confidentiality

3.1. Data Protection

Padeia acts as a Data Processor for any personal data you provide. Our responsibilities are outlined in our Data Processing Agreement (DPA), which is incorporated into these Terms by reference. For more details on how we handle data, please see our Privacy Policy.

3.2. Security

We implement and maintain robust administrative, technical, and physical security measures designed to protect your data. Our security program is aligned with industry standards such as ISO/IEC 27001 and SOC 2.

3.3. Confidentiality

Both parties agree to protect each other’s Confidential Information with a reasonable degree of care. We will only use your Confidential Information to provide and improve the Service, and you will only use our Confidential Information in connection with your use of the Service.

4. Fees & Payment

Fees for the Service are detailed in your subscription agreement or order form ("Order Form"). All fees are non-cancelable and non-refundable, except as required by law. Invoices are due 30 days from the invoice date. Late payments may result in interest charges and/or suspension of your access to the Service. Fees do not include taxes, which are your responsibility.

5. Intellectual Property

5.1. Padeia's IP

We retain all rights, title, and interest in the Service and all related intellectual property. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription term.

5.2. Customer's IP

You retain all rights, title, and interest in your own data. You grant us a limited license to host, process, and display your data as necessary to provide the Service.

6. Availability & Support

We strive for high availability and monitor our Service continuously. We will provide advance notice for any planned maintenance that may cause disruption, where feasible. Technical support is available via email at support@padeia.com during standard Central European Time (CET) business hours.

7. Warranties & Disclaimers

Padeia warrants that the Service will perform materially in accordance with our official documentation.

Except for the express warranty above, the service is provided "as-is." To the fullest extent permitted by law, Padeia disclaims all other warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law, Padeia's total liability arising out of or related to these terms will not exceed the total amount paid by you in the 12 months preceding the event that gave rise to the claim. Padeia is not liable for any indirect, consequential, or incidental damages, such as lost profits or data loss.

9. Term & Termination

These Terms remain in effect for your subscription term. Either party may terminate this agreement with 30 days' written notice if the other party commits a material breach and fails to cure it within that period. Upon termination, we will make your data available for export for 30 days, after which it will be deleted in accordance with our data retention policies.

10. General Provisions

10.1. Changes to Terms

We may update these Terms from time to time. If a change is material, we will notify you at least 30 days in advance. Your continued use of the Service after the changes take effect constitutes your acceptance.

10.2. Governing Law & Disputes

These Terms are governed by the laws of Norway. Any disputes will first be attempted to be resolved amicably. If a resolution cannot be reached, disputes shall be settled exclusively by the Oslo District Court (Oslo tingrett).
